Welcome to HerdTrackr. These Terms of Service ("Terms") govern your use of the HerdTrackr mobile application and related services (collectively, the "Service"). By accessing or using HerdTrackr, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using HerdTrackr, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Eligibility

You must be:

• At least 18 years of age
• Legally capable of entering into binding contracts
• Not prohibited from using the Service under South African law or any other applicable jurisdiction

3. Account Registration

3.1 Account Creation

To use HerdTrackr, you must create an account by providing:

• Accurate and complete information
• A valid email address
• A secure password

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Subscription Plans and Pricing

4.1 Plan Tiers

HerdTrackr offers multiple subscription tiers:

• Starter: Free tier with limited features
• Farm: Paid subscription with expanded features
• Commercial: Premium subscription with full features

4.2 Pricing and Billing

• Subscription fees are charged in South African Rands (ZAR)
• Billing occurs monthly on the date you subscribed
• All fees are exclusive of applicable taxes
• Prices may change with 30 days' notice to active subscribers

4.3 Free Trial

• New users may be eligible for a free trial period
• Credit card information may be required
• You will be charged unless you cancel before the trial ends
• One free trial per user/organization

4.4 Payment Methods

• We accept major credit/debit cards and other approved payment methods
• Payment processing is handled by secure third-party providers
• You authorize us to charge your payment method for all fees

4.5 Refunds

• Subscription fees are generally non-refundable
• Refunds may be granted at our sole discretion for technical issues or billing errors
• Contact billing@herdtrackr.co.za for refund requests

5. Cancellation and Termination

5.1 Your Right to Cancel

• You may cancel your subscription at any time through the app settings
• Cancellation takes effect at the end of the current billing period
• You retain access to paid features until the end of the paid period
• No refunds for partial months

5.2 Our Right to Terminate

We may suspend or terminate your account if you:

• Violate these Terms
• Provide false or misleading information
• Engage in fraudulent activity
• Abuse or misuse the Service
• Fail to pay applicable fees

5.3 Effect of Termination

• Upon termination, your access to the Service will cease
• You may export your data before termination
• We may delete your data after 90 days unless required by law to retain it

6. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with the Service's operation or other users
• Scrape, harvest, or collect user data
• Resell or redistribute the Service without authorization
• Use the Service to spam or harass others
• Reverse engineer, decompile, or disassemble the app

7. Intellectual Property Rights

7.1 Our Rights

HerdTrackr and all related materials (software, designs, logos, content) are owned by us and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works
• Use our trademarks without permission
• Remove copyright or proprietary notices

7.2 Your Content

You retain ownership of all livestock data, photos, and content you upload ("Your Content"). By using HerdTrackr, you grant us a limited license to:

• Store, process, and transmit Your Content
• Display Your Content to you and authorized users
• Create backups and enable sync functionality
• Use aggregated, anonymized data for analytics and improvements

8. Data and Privacy

Your use of HerdTrackr is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. Please review it carefully.

9. Service Availability and Modifications

9.1 Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted access
• Maintenance, updates, or technical issues may cause temporary disruptions
• We are not liable for service interruptions

9.2 Modifications to the Service

• We may modify, update, or discontinue features at any time
• We will provide reasonable notice for significant changes
• Continued use after changes constitutes acceptance

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of data
• Uninterrupted or error-free operation
• Security or freedom from viruses

YOU USE HERDTRACKR AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any indirect, incidental, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for data loss (you should maintain backups)
• We are not liable for decisions made based on data in the app

12. Indemnification

You agree to indemnify and hold harmless HerdTrackr, its affiliates, and employees from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content

13. Third-Party Services and Links

HerdTrackr may contain links to third-party websites or integrate with third-party services. We are not responsible for:

• The content or practices of third-party sites
• Any damages arising from your use of third-party services

14. Export and Regulatory Compliance

You are responsible for:

• Compliance with South African livestock regulations
• Accuracy of records and data entry
• Meeting traceability requirements (2025/2027 regulations)
• Proper use of veterinary and pharmaceutical records

HerdTrackr is a tool to assist with compliance but does not guarantee regulatory compliance.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of South Africa, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes shall be resolved in the courts of Johannesburg, South Africa.

15.3 Informal Resolution

Before filing a claim, you agree to contact us at legal@herdtrackr.co.za to seek informal resolution.

16. Changes to These Terms

We may update these Terms periodically. We will notify you of material changes via:

• Email to your registered address
• In-app notification
• Updated "Last Updated" date at the top

Continued use after changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HerdTrackr regarding the Service.
